Terms and Conditions

These General Terms and Conditions of Sale and Service (the "Terms") govern the contractual relationship between Flow Synapse (the "Provider") and any legal entity or individual acting in a professional capacity (the "Client") subscribing to AI automation and integration services.

By accessing or using our services, you agree to be bound by these Terms. These services are strictly intended for B2B (Business-to-Business) use.

1. Description of Services

Flow Synapse provides custom engineering expertise for enterprise AI implementation. Services include, but are not limited to:

  • Audit and Strategic Consulting: Analysis of existing workflows and design of automation roadmaps.
  • Workflow Development: Creation of custom automated flows connecting Client tools (CRM, ERP, Email) via APIs and webhooks.
  • AI Integration: Deployment of generative AI models (OpenAI, Anthropic, Gemini) within business processes.
  • Hosting and Maintenance: Technical monitoring and hosting of solutions on secure private servers.

Unauthorized resale, sub-licensing, or sharing of the created solutions is strictly prohibited.

2. Financial Terms and Payment

2.1. Pricing: All prices are expressed in Euros and are inclusive of all applicable taxes (TTC). Flow Synapse does not charge separate setup fees; the costs of initial design and deployment are fully integrated into the global price agreed for the duration of the service.

2.2. Payment Terms: Payment for services is made exclusively according to the terms defined in the bilateral sales contract established between Flow Synapse and the Client. The Client agrees to adhere to the payment schedule outlined in said contract.

2.3. Pricing Updates: We reserve the right to adjust our pricing. Existing clients will be notified via email before any material change in pricing takes effect.

3. Subscriptions and Renewal

3.1. Plans: Services are accessible through monthly or annual subscription plans chosen by the Client at the start of the service.

3.2. No Minimum Commitment: Unless otherwise specified in the specific contract, subscriptions do not carry a minimum duration commitment. However, the Client remains liable for the full amount of the billing period already started.

3.3. Automatic Renewal: Subscriptions renew automatically for an equivalent period unless cancelled by the Client in accordance with the cancellation policy below.

4. Cancellation Policy

4.1. Client-Initiated Cancellation:

  • Monthly Subscriptions: The Client may cancel at any time by sending a written request to flowsynapse@gmail.com. Cancellation takes effect at the end of the current billing cycle.
  • Annual Subscriptions: In the event of early cancellation of an annual subscription, no full or partial refund will be provided for the remaining period.

4.2. Effect of Cancellation: Upon cancellation, access to automated workflows and associated services will cease immediately upon the effective date.

4.3. Termination for Breach: Flow Synapse reserves the right to suspend or terminate services immediately, without notice, in the event of non-payment or violation of these Terms.

5. AI Responsibility and Limitations

5.1. Accuracy: The Client acknowledges that generative AI models may produce inaccurate or unsuitable content (commonly referred to as "hallucinations"). Flow Synapse does not guarantee the absolute accuracy of content produced by third-party AI models.

5.2. Human Review: The Client is solely responsible for reviewing, testing, and verifying all AI-generated content (emails, documents, data) before final use.

5.3. Third-Party Providers: Flow Synapse depends on third-party API providers (OpenAI, Google, Meta, etc.). We are not liable for service interruptions or modifications of terms caused by these providers.

6. Intellectual Property

  • Client Ownership: The Client retains exclusive ownership of all their data and the final content generated by the AI on their behalf.
  • Provider Ownership: Flow Synapse retains all intellectual property rights to the scripts, methodologies, architectures, and workflows created. The Client is granted a non-exclusive, non-transferable license to use these solutions for the duration of their paid subscription.

7. Limitation of Liability

Flow Synapse is bound by an obligation of means (obligation de moyens). We implement our expertise to automate your processes as reliably as possible.

In no event shall Flow Synapse be liable for any indirect or consequential damages (including loss of profits, data, or business opportunity) resulting from the use of the service. Our total liability for any direct claim shall not exceed the amount paid by the Client during the twelve (12) months preceding the event giving rise to the claim.

8. Force Majeure

Neither party shall be held liable for a failure to perform its obligations if such failure results from a case of "Force Majeure" as defined by French law (e.g., major network outages, global cyberattacks, natural disasters). Obligations are suspended for the duration of the event.

9. Governing Law and Jurisdiction

These Terms and the operations arising from them are governed by French law. In the event of a dispute, the parties will first seek an amicable solution. If no agreement is reached, the dispute shall be submitted to the exclusive jurisdiction of the Commercial Court (Tribunal de Commerce) where Flow Synapse is headquartered.
